1. Application

1.1This Acceptable Use Policy (the "AUP") applies to every Customer and User of the SphereOne Services provided by Altrivis Management LLC ("Altrivis"). It forms part of the SphereOne Terms of Service. Capitalised terms not defined here have the meanings given in the Terms of Service.

1.2Customers are responsible for their Users' compliance with this AUP.

2. Prohibited Content

2.1You shall not use the Services to create, upload, store, send or share any content that:

  • (a)is unlawful, or promotes or facilitates unlawful activity;
  • (b)depicts or promotes the sexual exploitation or abuse of children, which we will report to the National Center for Missing and Exploited Children and to law enforcement;
  • (c)threatens, harasses, bullies, intimidates or incites violence against any person or group;
  • (d)is defamatory, or infringes any person's privacy or publicity rights;
  • (e)infringes any copyright, trade mark, trade secret or other intellectual property right;
  • (f)promotes discrimination or hatred on the basis of race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, age or any other protected characteristic;
  • (g)contains malware, viruses or other harmful code; or
  • (h)is sexually explicit, unless it is lawful content shared between consenting adults for a legitimate business purpose.

3. Prohibited Conduct

3.1You shall not:

  • (a)send unsolicited bulk messages, spam or chain communications, or use the Services for phishing or fraud;
  • (b)impersonate any person or misrepresent your affiliation with any person or organisation;
  • (c)access, or attempt to access, any Workspace, account or data that you are not authorised to access, or probe, scan or test the vulnerability of the Services without our written permission;
  • (d)circumvent any access control, usage limit, authentication measure or security feature;
  • (e)interfere with or place an unreasonable load on the Services, including by denial of service attacks or excessive automated requests;
  • (f)use bots, scrapers or other automated means to access or extract data from the Services, other than through our published interfaces within documented limits;
  • (g)share your login credentials or allow more persons to use an account than your plan permits;
  • (h)use the Services to monitor or track any individual without the notice and consent required by law; or
  • (i)use the Services in breach of export control or sanctions laws.

4. Recording, Transcription and AI Note-taking

4.1Recording is available in the web application and is saved only to the recording participant's own device. Live captions, which transcribe only a participant's own speech and show it only to that participant, are available; transcription of meetings and AI note-taking are not presently available. The following rules apply to any recording, and to transcription or AI note-taking if they are made available.

4.2Many laws, including the US federal Wiretap Act and the laws of states such as California, Florida, Illinois, Maryland, Massachusetts, Pennsylvania and Washington, prohibit recording a conversation without the consent of all participants. Laws outside the United States may impose similar rules.

4.3You shall not record, transcribe or use AI to take notes of any meeting or call unless all participants have been informed in advance and, where required by law, have consented. You shall not disable, obscure or circumvent any recording notice displayed by the Services.

4.4You shall not record or process any meeting for the purpose of identifying individuals by their face or voice. This does not restrict the optional "Only my voice" setting, which checks on a User's own device that "Hey SphereOne" was said by that User, using a voiceprint the User created with their consent.

5. Sensitive Data

5.1You shall not use the Services to store or process: protected health information subject to HIPAA; student education records subject to FERPA; payment card numbers (except through our designated payment processor); government identification numbers, bank account credentials or biometric identifiers; or classified information, unless we have expressly agreed in a signed Order Form. A voiceprint kept on a User's device by the "Only my voice" setting is not stored or processed in the Services.

6. AI Features

6.1When using SphereOne Assist or any other AI Feature, you shall not:

  • (a)use AI Features to generate content that breaches Sections 2 or 3;
  • (b)attempt to extract the underlying models, prompts or training data, or to circumvent safety measures of our AI providers;
  • (c)use Output as the sole basis for any decision that has legal or similarly significant effects on an individual, including decisions about hiring, termination, promotion, credit, housing or insurance;
  • (d)represent Output as human-generated where the law requires disclosure of AI involvement; or
  • (e)use Output to develop models that compete with our AI providers, in breach of their terms.

6.2You shall comply with the usage policies of our AI providers, as referenced in our AI Usage and Disclosure Policy.

7. Location-based Access Controls

7.1An Administrator who enables location-based access controls shall use them only to protect the security of the Workspace, and not to track the movements of Users outside the purpose of access control. The Customer shall give Users all notices required by law before enabling the feature and shall provide a way for a User who is refused access to have the refusal reviewed.

8. Reporting Violations

8.1Please report any breach of this AUP to support@sphereone.ai. Copyright complaints should be made under our Content Moderation and Copyright Policy.

9. Enforcement

9.1We may investigate any suspected breach of this AUP. Where we find a breach, we may take any action we consider appropriate, including warning the Customer, removing or disabling content, suspending or terminating Users or accounts, and reporting to law enforcement.

9.2We will ordinarily notify the Customer's Administrator before taking action, unless the breach is serious, notice would compromise an investigation, or we are prohibited by law from giving notice.

9.3We are not obliged to monitor content, and any failure to act on a breach is not a waiver of our rights.

10. Changes

10.1We may update this AUP from time to time. Material changes will be notified in accordance with the Terms of Service.
